Les présentes Conditions Générales de Vente (CGV) s’appliquent à l’ensemble des prestations réalisées par Cuisines Alto inc., ci-après désignée "l’entreprise", incluant notamment et sans s’y limiter, la rénovation, la fabrication et l’installation de cuisines. Toute acceptation de soumission, commande ou confirmation verbale ou écrite implique l’adhésion pleine et entière du client aux présentes CGV.
Sauf stipulation écrite contraire, l’entreprise n’est tenue à aucun délai d’exécution ferme. Les dates de début ou de fin de travaux sont strictement indicatives et peuvent varier selon divers facteurs indépendants de la volonté de l’entreprise, incluant les retards de sous-traitants, fournisseurs ou du client lui-même. L’entreprise s’engage toutefois à exécuter les travaux avec diligence, dans un délai raisonnable et selon les règles de l’art.
Toute modification, ajout ou demande non prévue à l'estimation initiale fera l’objet d’une facturation distincte au taux horaire de 100 $ CAD + taxes, en plus du coût des matériaux. Ces frais sont réputés acceptés dès la demande du client, même sans signature formelle.
Les dépôts sont exigibles d’avance et au plus tard aux échéances convenues. L’entreprise se réserve le droit de refuser de commencer ou de poursuivre les travaux en cas de non-paiement partiel ou total d’un dépôt ou du paiement à son échéance, sans que cela ne la dégage de son droit à recevoir le paiement intégral du projet. Tous dépôts sont non remboursables, sauf accord écrit contraire, et couvrent les coûts de gestion, planification et mise en œuvre du projet, même en cas d’annulation du projet par un tiers.
Dans tous les cas, le client est réputé redevable de la totalité du contrat dès validation du projet, sauf accord écrit contraire. Toute facilité de paiement octroyée constitue une faveur unilatérale de l’entreprise, qui pourra y mettre fin à tout moment.
En cas de défaut de paiement ou de retard, des pénalités sont exigibles automatiquement :
– Pénalité forfaitaire de 5 % du montant total du contrat
– Intérêt mensuel de 1 % sur les soldes impayés
Le paiement du solde par le client vaut acceptation complète et sans réserve des travaux réalisés. En cas de réserve, le client peut éventuellement retenir une partie du paiement de façon raisonnable, notifier clairement les éléments à corriger qui doivent avoir été clairement identifiés dans l’estimation initiale ou la facturation, et permettre à l’entreprise de les compléter ou de les corriger dans un délai raisonnable avant toute compensation ou réclamation.
Toute annulation ou résiliation de contrat par le client, pour quelque raison que ce soit, entraîne l’obligation pour ce dernier de payer l’intégralité du contrat, moins les sommes déjà versées, sauf accord écrit contraire. L’entreprise pourra retenir tout ou partie des montants versés à titre de compensation.
Si l’entreprise a entamé le projet malgré l'absence de paiement du dépôt, le client demeure tenu de régulariser cette situation dans les meilleurs délais, à défaut de quoi l’entreprise pourra cesser les travaux sans préavis, et le montant intégral du projet sera réputé dû.
Tous matériaux, équipements et installations livrés ou posés demeurent la propriété de l’entreprise jusqu’au paiement complet du contrat. À défaut de règlement intégral, l’entreprise se réserve le droit de suspendre, reprendre ou annuler les livraisons ou travaux, sans préjudice de son droit à obtenir paiement intégral.
Le client est réputé être le maître d’œuvre, sauf convention écrite contraire. Il lui incombe de :
– Coordonner les différents intervenants sur le chantier
– Permettre l’accès aux lieux
– Assurer le respect des règles de sécurité
– S’assurer que le site est prêt pour l’exécution des travaux
En cas de non-respect de l’une ou l’autre de ces obligations, l’entreprise pourra suspendre les travaux et décliner toute responsabilité pour les conséquences découlant de cette situation.
L’entreprise ne peut être tenue responsable des dommages indirects ou immatériels, ni des défauts résultant d’un usage non conforme, d’une mauvaise installation par un tiers, ou d’un manque d’entretien.
Lorsqu’un sous-traitant ou une tierce partie intervient, la responsabilité de l’entreprise est strictement limitée à la qualité de ses propres interventions, et ne s’étend pas à la coordination ou l’exécution de tiers.
L’entreprise est couverte par la garantie légale de la RBQ lorsque celle-ci est applicable.
Toute personne, référence, contact ou entreprise mise en relation avec le client par l’intermédiaire de l’entreprise n’est en aucun cas une partie au contrat entre l’entreprise et le client. Le client agit de manière autonome et indépendante avec ces tiers, sous sa seule responsabilité.
L’entreprise ne pourra être tenue responsable pour tout manquement ou retard dû à un cas de force majeure ou à un événement hors de son contrôle, incluant notamment les interruptions de chaîne d’approvisionnement, les conflits de travail, conditions météorologiques extrêmes ou autres retards provenant des fournisseurs ou du client lui-même.
Les présentes CGV sont régies par les lois du Québec. Tout litige sera porté devant les tribunaux compétents du district judiciaire de Salaberry-de-Valleyfield.
L’entreprise offre une garantie limitée de 5 ans contre tout défaut des matériaux, dans le cadre d'une utilisation normale et conforme. Une garantie de 2 ans s’applique spécifiquement contre l’écaillage de la peinture. Toute réclamation au titre de la garantie est sujette à une expertise préalable. La garantie devient nulle et non avenue dès qu’une intervention est effectuée par un tiers non mandaté par l’entreprise., ou par le client lui-même, sans autorisation écrite préalable. Cette garantie ne couvre pas l’usure normale, les dommages accidentels, ou les utilisations abusives ou inadéquates du projet ou des matériaux.
L’entreprise garantit les matériaux utilisés contre tout défaut de fabrication ou de matière pendant une période de cinq (5) ans suivant la date de fin des travaux, dans le cadre d’une utilisation normale. La peinture est garantie pour une période de deux (2) ans contre l’écaillage, sous réserve du respect des conditions normales d’utilisation.
Toute réclamation au titre de la garantie devra faire l’objet d’une demande écrite et pourra donner lieu, si nécessaire, à une expertise. La garantie est nulle en cas d’intervention d’un tiers non mandaté ou du client lui-même sur les travaux réalisés par l’entreprise.
Les présentes CGV sont réputées acceptées par le client dès qu’il valide un devis, une soumission, un bon de commande ou une confirmation verbale ou écrite, et ce, même en l’absence de signature formelle. Elles sont réputées remises au client et sont également disponibles sur demande, en tout temps.

These General Terms and Conditions of Sale (GTCS) apply to all services performed by Cuisines Alto inc., hereinafter referred to as "the company", including but not limited to the renovation, manufacture and installation of kitchens. Any acceptance of a quote, order or verbal or written confirmation implies the client's full and complete acceptance of these GTCS.
Unless otherwise stipulated in writing, the company is not bound by any firm completion time. Start or end dates of the work are strictly indicative and may vary according to various factors beyond the company's control, including delays by subcontractors, suppliers or the client. The company nevertheless undertakes to carry out the work diligently, within a reasonable time and in accordance with good practice.
Any change, addition or request not provided for in the initial estimate will be invoiced separately at the hourly rate of $100 CAD + taxes, in addition to the cost of materials. These charges are deemed accepted as soon as the client makes the request, even without a formal signature.
Deposits are payable in advance and no later than the agreed due dates. The company reserves the right to refuse to start or continue the work in the event of partial or total non-payment of a deposit or of a payment when due, without this releasing it from its right to receive full payment for the project. All deposits are non-refundable, unless otherwise agreed in writing, and cover the costs of managing, planning and carrying out the project, even if the project is cancelled by a third party.
In all cases, the client is deemed liable for the entire contract as soon as the project is confirmed, unless otherwise agreed in writing. Any payment facility granted is a unilateral favour from the company, which may end it at any time.
In the event of default or late payment, penalties are automatically payable:
– Fixed penalty of 5% of the total contract amount
– Monthly interest of 1% on unpaid balances
Payment of the balance by the client constitutes complete and unreserved acceptance of the work performed. In the event of reservations, the client may withhold a reasonable portion of the payment, must clearly notify the items to be corrected, which must have been clearly identified in the initial estimate or invoicing, and must allow the company to complete or correct them within a reasonable time before any set-off or claim.
Any cancellation or termination of the contract by the client, for any reason whatsoever, obliges the client to pay the entire contract, less the amounts already paid, unless otherwise agreed in writing. The company may retain all or part of the amounts paid as compensation.
If the company has started the project despite the deposit not having been paid, the client remains bound to regularize this situation as soon as possible, failing which the company may stop the work without notice, and the full amount of the project will be deemed due.
All materials, equipment and installations delivered or installed remain the property of the company until the contract is paid in full. In the absence of full payment, the company reserves the right to suspend, take back or cancel deliveries or work, without prejudice to its right to obtain full payment.
The client is deemed to be the general contractor (maître d'œuvre), unless otherwise agreed in writing. The client is responsible for:
– Coordinating the various trades on the site
– Providing access to the premises
– Ensuring compliance with safety rules
– Ensuring that the site is ready for the work to be carried out
If any of these obligations is not met, the company may suspend the work and disclaim all liability for the consequences arising from this situation.
The company cannot be held liable for indirect or consequential damages, nor for defects resulting from improper use, faulty installation by a third party, or lack of maintenance.
When a subcontractor or third party is involved, the company's liability is strictly limited to the quality of its own work and does not extend to the coordination or performance of third parties.
The company is covered by the RBQ legal guarantee where applicable.
Any person, referral, contact or business introduced to the client through the company is in no way a party to the contract between the company and the client. The client deals with these third parties autonomously and independently, under the client's sole responsibility.
The company cannot be held liable for any failure or delay due to force majeure or to an event beyond its control, including in particular supply chain disruptions, labour disputes, extreme weather conditions or other delays caused by suppliers or by the client.
These GTCS are governed by the laws of Québec. Any dispute shall be brought before the competent courts of the judicial district of Salaberry-de-Valleyfield.
The company offers a limited 5-year warranty against any defect in materials, under normal and proper use. A 2-year warranty applies specifically against paint chipping. Any warranty claim is subject to a prior assessment. The warranty becomes null and void as soon as work is performed by a third party not mandated by the company, or by the client, without prior written authorization. This warranty does not cover normal wear and tear, accidental damage, or abusive or improper use of the project or materials.
The company warrants the materials used against any manufacturing or material defect for a period of five (5) years from the date the work is completed, under normal use. Paint is warranted for a period of two (2) years against chipping, subject to normal conditions of use.
Any warranty claim must be made in writing and may, if necessary, give rise to an assessment. The warranty is void in the event of work by an unauthorized third party or by the client on the work performed by the company.
These GTCS are deemed accepted by the client as soon as the client approves an estimate, a quote, a purchase order or a verbal or written confirmation, even in the absence of a formal signature. They are deemed to have been delivered to the client and are also available on request at any time.
